 BACKGROUND

Prisca is an Associate with the Banking and Finance team. She has a comprehensive banking and project finance practice ranging from advising international finance parties and local project companies on a variety of transactions falling largely under the power sector.

With over 5 years’ experience, Prisca has gained an in-depth appreciation of the needs of finance parties and project companies in project finance transactions whose structures are very nuanced. Her advisory experience includes structuring, negotiating and drafting financing documentation, preparing legal opinions, conducting high-level due diligences on project companies and advising on land acquisition and the securitisation process.

Prisca also has considerable experience in corporate law and mergers and acquisitions which experience ranges from setting up corporate entities, drafting and reviewing of corporate transactions documents (such as share purchase agreements and shareholders agreements) and advising on structuring of transactions.

She has also routinely advised various non-governmental organisations on their operations in Uganda, with an emphasis on employment, immigration, corporate and compliance aspects of their operations.

Prisca holds an Upper-Second Class LL.B (Hons) degree from Makerere University and a Post Graduate Diploma in Legal Practice from the Law Development Centre.

The transaction involved conducting a high-level due diligence on the project company and its operations, advising on the regulatory and corporate affairs of the project company as well as drafting and reviewing security and finance documents.
  • Advising finance parties on the proposed financing of Kikagati ugoye Hydro Power Plant, a 13 MW hydro power project in Kasese, Uganda. The transaction involved advising on regulatory, corporate, environmental and land-related affairs of the borrower, reviewing finance and security documents, advising on the borrower’s obligations and undertakings under the transaction documents.
  • Advising Butama Hydro-Electric Company Limited, the borrower in the financing of the Sindila Power Project (a 5.25 MW mini hydro power project in Western Uganda). The transaction involved advising on regulatory, corporate, environmental and land-related affairs of the borrower, reviewing finance and security documents, advising on the borrower’s obligations and undertakings under the transaction documents.
  • Advising the East African Development Bank on the financing of Mercantile Credit Bank, a Ugandan Tier II financial institution licensed by the Bank of Uganda. The transaction involved drafting and review of the security documents and advising on the validity and enforceability of the securities taken in the transaction.
  • Advising Q-Sourcing Limited and Q-Training Limited on the acquisition of majority shares by Servtec International Group. The transaction involved advising on the legality of the share acquisition and drafting and negotiating terms of the transaction documents.
  • Advising classM France on the acquisition of shares in Pure Grow Africa Limited, Ugandan agri-business company. The transaction involved conducting a comprehensive due diligence on the target, drafting and reviewing of transaction documents and advising on the structuring of the transaction.
  • Part of the team that advised an Ugandan private equity fund on its acquisition of shares in a Ugandan geothermal energy company. The transaction involved advising the fund on the legalities and necessary documentation required to effect the share acquisition and drafting and reviewing the transaction documents.
  • Part of the team that advised Biyinzika Enterprises Limited on its sale of assets and shares in a Ugandan company to private equity fund. The transaction involved the review of transaction documents and advising on the structuring of the transaction
  • Advising various non-governmental organisations on their operations in Uganda (such as employment, immigration, corporate and compliance aspects of their operations). These organisations include the Agency for Cooperation and Research in Development (ACORD), Once Acre Fund, Global Health Corps, We Care Solar, Social Impact, Komo Learning Centres, Nama Wellness Center and Iowa State University.
  • Advising on the corporate affairs of the Security Group Africa corporate group. This transaction involved conducting a comprehensive corporate due diligence on the operations of the group and rendering corporate advice to the group.
